Licence Agreement

This End User Licence Agreement (“Agreement”) is between MiiiA Pty Ltd (ABN 87 119 486 118), referred to as “MiiiA”, “we”, “us” or “our”, and the person or organisation that purchases or uses the MiiiA software solution(s) this Agreement accompanies (“you” or the “User”). It governs your right to install and use MiiiA’s Dynamics 365 solutions, including D365 Checklists and D365 Tiles (the “Solution” or “Solutions”).

By installing, accessing or using the Solution(s), you acknowledge that you have read this Agreement, understand it, and agree to be bound by it. If you do not agree, you must not install or use the Solution(s).

This Agreement applies only to MiiiA’s packaged Dynamics 365 add-on solutions, currently D365 Checklists and D365 Tiles. It does not apply to MiiiA’s consulting, support, implementation, managed services or other project work, which are governed by separate written agreements.

The Solution(s) are not sold through this Website. If you purchase a Solution from MiiiA, this Agreement applies together with any invoice, quote, order confirmation or other written terms agreed with you.

1. Licence

In consideration of payment of the applicable licence fee and your compliance with this Agreement, MiiiA grants you a personal, non-exclusive, non-transferable licence to install and use the Solution(s) on the Dynamics 365 instance(s) for which a licence has been purchased.

2. Per-instance scope

A separate licence is required for each Dynamics 365 instance on which a Solution is installed, including Production, Sandbox, Development and UAT instances. Additional instances on the same tenant may attract a discount, as set out in the current pricing for the Solution.

3. Restrictions

You may not copy, modify, or transfer the Solution to others, in whole or in part, except as expressly permitted by this Agreement. The Solution contains trade secrets of MiiiA. You may not reverse engineer, disassemble, decompile or translate the Solution, attempt to derive its source code, or authorise any third party to do so. The licence is personal to you, and any attempt to transfer your rights or obligations under it will terminate this Agreement and is void. You may not rent, lease, loan, resell or distribute the Solution or any part of it, including by making it available to others through shared access or by sharing your access credentials.

4. Ownership

The Solution(s) are the property of MiiiA and are protected by applicable patent, copyright, trade secret, trademark and other proprietary rights. The Solution(s) are licensed, not sold, to you for use only under the terms of this Agreement. MiiiA reserves all rights not expressly granted to you.

5. Fees and term

The Solution(s) are licensed for a one-time payment per instance, with no ongoing subscription and no automatic renewal. Payment may be made by EFT or credit card (processed via Stripe for international customers); GST applies to Australian entities. Once payment has been received in full for an instance, the licence for that instance continues for as long as you comply with this Agreement. 6. Support and updates

Unless expressly agreed in writing, the licence fee does not include implementation, configuration, training, support, maintenance, customisation, or future updates. MiiiA may make updates or new versions available from time to time, but is not obliged to do so.

7. Microsoft dependency

The Solution(s) are designed for use with Microsoft Dynamics 365 and related Microsoft services. MiiiA is not responsible for changes to Microsoft products, services, APIs, licensing, security models or platform behaviour that affect the operation of the Solution(s).

8. Termination

This Agreement terminates immediately if you breach any of its terms, including any unlicensed installation, copying or distribution of the Solution. On termination, you must stop using and remove the Solution from any instance for which a valid licence is not held. The sections that by their nature should survive termination - including Ownership, Warranty disclaimer and Limitation of liability - will continue to apply.

9. Warranty disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SOLUTION(S) ARE PROVIDED “AS IS” AND MIIIA MAKES NO REPRESENTATIONS OR WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY LAW, MIIIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. MIIIA DOES NOT WARRANT THAT THE SOLUTION(S) ARE ERROR-FREE, THAT THEIR OPERATION WILL BE UNINTERRUPTED, OR THAT THEY WILL MEET YOUR PARTICULAR REQUIREMENTS.

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

10. Limitation of liability

To the fullest extent permitted by law, MiiiA’s total liability arising out of or in connection with the Solution(s) or this Agreement is limited to the licence fee you paid for the affected instance. MiiiA is not liable for any indirect, incidental or consequential loss, or for any loss of data, profit, revenue, business opportunity or goodwill.

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where MiiiA is permitted to limit its liability for breach of a consumer guarantee, MiiiA’s liability is limited, at its option, to resupplying the relevant goods or services, repairing or replacing the relevant goods, or paying the cost of having them resupplied, repaired or replaced.

11. Waiver

No failure to enforce any term of this Agreement constitutes a waiver of that term in the future, unless the waiver expressly says so by its terms.

12. Severability

If any part of this Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not be affected and they will remain in full force and effect.

13. Governing law

This Agreement is governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that state.
